These Terms of Service ("Terms") govern your access to and use of the Flutch platform, website, and any related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account.
You represent and warrant that all information you provide during registration is accurate, complete, and current. Providing false or misleading information constitutes a material breach of these Terms.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful purposes. We reserve the right to suspend or terminate your access at any time, with or without cause, and with or without notice.

All rights, title, and interest in and to the Platform, including all intellectual property rights, are owned by Flutch. These Terms do not grant you any rights to our intellectual property except as expressly set forth herein. You may not reproduce, distribute, modify, or create derivative works of any part of the Platform without our prior written consent.
By submitting, posting, or uploading content to the Platform, you grant Flutch a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, publish, and display such content in any medium and for any purpose, including commercial purposes.
The Platform may integrate with or link to third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with such services are solely between you and the third party.
To the maximum extent permitted by law, Flutch and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or relating to your use of the Platform, even if we have been advised of the possibility of such damages. Our total liability for any claims arising under these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Flutch and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of applicable law.
We may terminate or suspend your account and access to the Platform at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Flutch operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts of such jurisdiction.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
These Terms constitute the entire agreement between you and Flutch regarding your use of the Platform. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
